Interpretation and Definitions
Interpretation
The words with initial capital letters have meanings defined under the following conditions. The definitions shall have the same meaning regardless of whether they appear in singular or plural.
Definitions
For the purposes of these Terms and Conditions:
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
- Account means a unique account created for You to access our Service.
- Country refers to Victoria, Australia.

- Content means text, images, documents, scans, or other information that can be posted, uploaded, linked to, or otherwise made available by You.
- Device means any device that can access the Service such as a computer, phone, or tablet.
- Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of the Service.
- Service refers to the TagOnDrop website and application.
- Terms and Conditions (“Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
- Third-party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available by the Service.
- Website refers to TagOnDrop, accessible from https://tagondrop.com and https://my.tagondrop.com.
- You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment
These Terms govern the use of the Service and form the agreement between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part, do not access the Service.
You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with Our Privacy Policy. Please read Our Privacy Policy carefully before using the Service.
User Accounts
- Provide accurate, complete, and current information at all times.
- You are responsible for safeguarding your password and for activities that occur under your Account.
- Do not disclose your password to any third party. Notify Us immediately of any breach of security or unauthorized use.
- Do not use a username that infringes rights of others or is offensive, vulgar, or obscene.
Fair Use and Limitations
The Service is designed for tracking and managing physical assets (for example: bins, skips, trailers, equipment) and related operational events (drops, pickups). You agree to:
- Use the Service only for lawful purposes and in accordance with applicable laws.
- Avoid abusive or excessive usage that degrades Service performance for others. We may apply reasonable rate limits to scanning, API, webhooks, and email notifications to protect platform stability.
- Refrain from reverse engineering, scraping, probing, or attempting to bypass security or usage limits.
- Ensure that personnel who scan or submit records have consent to do so on behalf of your organization and customers.
If Your Account remains inactive for an extended period, we may suspend access or archive data according to our data retention practices. Paid subscriptions that remain current are generally excluded from archival measures.
Notifications
We may send operational or service notices to the email address registered to your Account, including usage alerts, billing notices, and feature updates.
Subscriptions
Subscription period
Some or all features are available only with a paid Subscription. You will be billed in advance on a recurring basis (e.g., monthly or annually) per the plan selected. Subscriptions renew automatically unless cancelled.
Subscription cancellations
You may cancel renewal in your Account settings or by contacting Us. Fees already paid for the current period are non-refundable. Access continues until the end of the current period.
Billing
We use Paddle as merchant of record to process Subscription fees and applicable taxes. Invoices and receipts may reference “Paddle”. You must keep billing details accurate and up to date. If payment fails and is not remedied, your access may be suspended and your Account may be closed after a grace period.
Fee changes
We may modify Subscription fees. Changes take effect at the end of the then-current period. We will provide reasonable prior notice so you may cancel before changes take effect.
Refunds
Except when required by law, Subscription fees are non-refundable. Some requests may be considered case-by-case at our discretion. See our Refund Policy at /legal/refund/.
Free trial
We may offer free trials. If billing details are provided, you will not be charged until the trial ends. Unless cancelled, the plan converts to a paid Subscription at the end of the trial.
Content
Your right to post Content
You are responsible for Content you submit. By posting Content, you grant Us a non-exclusive license to use and display it to provide the Service. You represent you have the necessary rights and that posting does not violate others’ rights.
Content restrictions
Do not post unlawful, harmful, infringing, or abusive Content; malware; impersonations; or privacy violations. We may remove Content, limit access, or suspend Accounts for violations.
Backups
We use reasonable measures to protect data, but we do not guarantee that Content will not be lost or corrupted. Maintain independent backups of critical data.
Copyright Policy
Intellectual Property Infringement
If you believe Content infringes your rights, contact [email protected] with sufficient detail. We may remove or restrict access to allegedly infringing material.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors. Our trademarks and trade dress may not be used without our prior written consent.
Your Feedback to Us
You assign to Us all rights in Feedback you provide. If assignment is ineffective, you grant a perpetual, irrevocable, royalty-free, worldwide license to use the Feedback.

The Service may contain links to third-party sites. We are not responsible for their content or practices. Review their terms and privacy policies.
Termination
We may suspend or terminate your Account immediately, without prior notice or liability, for any reason including breach of these Terms. Upon termination, your right to use the Service ceases immediately.
Limitation of Liability
To the maximum extent permitted by law, in no event shall the Company or its suppliers be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill. Our aggregate liability shall not exceed the amount you paid through the Service in the 12 months preceding the claim, or USD 100 if no payments were made.
“AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation.
Governing Law
These Terms are governed by the laws of Victoria, Australia, excluding its conflict of laws rules.
Disputes Resolution
Contact Us first to resolve disputes informally.
For EU Users
EU consumers will benefit from any mandatory provisions of the law of their country of residence.
United States Legal Compliance
You represent and warrant that (i) you are not located in a country subject to U.S. embargo or designated as “terrorist supporting,” and (ii) you are not on any U.S. government list of prohibited or restricted parties.
Severability and Waiver
If any provision is held unenforceable, it shall be modified to achieve its intent to the maximum extent permitted, and the remaining provisions will continue in full force. Failure to enforce any right is not a waiver of future enforcement.
Translation
If we provided a translation, the English version prevails in the event of a dispute.
Changes to These Terms
We may modify these Terms at any time. For material changes, we will provide reasonable prior notice. Continued use after changes become effective constitutes acceptance.
